There are 27 Councillors, elected to represent the interests of Fonterra farmers. Each Councillor is elected by farmers within the ward they represent.
The role of the Council is fulfilled through a set of key functions, which are set out in clause 16 of the Fonterra Constitution. These functions include:
Council works to create a more authentic and comprehensive connection with Co-operative members.
Council aims to foster members’ engagement with their Co-operative, develop a comprehensive understanding of members’ interests, needs and perspectives, influence the Co-operative’s long-term direction, and communicate to members how the Council represents their interests and needs especially to the Board.
Council holds the Board to account, by transparently and regularly seeking Board explanation for Fonterra’s strategy and performance.
The Co-op’s separation of governance and representation means that the Council is not involved in making or delivering business decisions, but rather its role is to form a long-term view of how well Fonterra’s performance and prospects are meeting members’ expectations for their Co-operative.
Council is the guardian of the Co-operative’s shared Purpose, Values and Philosophy, which are at the heart of Fonterra’s co-operative ethos.
It is consulted on changes being proposed by the company that have the potential to affect members’ interests. It aims to promote awareness and understanding of the Co-operative Philosophy amongst Co-op members, through both regular interactions between Councillors and members and the Understanding Your Co-operative Programme.
The Fonterra Co-operative Council meets several times a year to conduct business and receive updates on relevant Co-operative matters from members of the Board and Management.
The Council’s annual work programme is determined by its core functions set out in the Fonterra Constitution and by topical issues of importance for Fonterra Co-op members.
Workstreams are progressed by three committees – Accountability, Connection, and Guardianship.
In addition to the three committees, the Council has representatives on the Governance Development Committee and four Councillors attend meetings of the Board’s Co-operative Relations Committee.
The Council also engages with other key stakeholders on matters affecting Fonterra members, and is supported by an executive team based in Auckland, New Zealand.
Peter was elected to the Council in 2021 to represent Co-op members in Northern Northland.
Peter is a member of the Guardianship Committee.
Ryan was elected to the Council in November 2019 to represent Co-op members in the Hauraki ward.
Ryan is a member of the Accountability Committee.
Paulette was elected to Council in November 2019 to represent Co-op members in the King Country.
Paulette is a member of the Accountability Committee, and serves as a Council representative on the Board’s Co-operative Relations Committee.
Karyn was elected to the Council in 2021 to represent Co-op members in Central Taranaki.
Karyn is a member of the Connection Committee.
Charlotte was elected to the Council in 2024 to represent Hawke’s Bay.
Charlotte is a member of the Guardianship Committee.
Daniel was elected to the Council in 2024 to represent Central Canterbury.
Danial is a member of the Accountability Committee.
Jolene was elected to the Council in 2024 to represent Western Southland.
Jolene is a member of the Connection Committee.
Greg was elected to the Council in 2021 to represent Co-op members in Central Northland.
Greg is the Chair of the Guardianship Committee.
Aleisha was elected to Council in 2023 to represent Co-op members in the Piako ward.
Aleisha is a member of the Guardianship Committee.
Don was elected to Council in 2016 to represent Co-op members in Western Bay of Plenty.
Don is a member of the Council's Accountability Committee and has been a member of the Connection Committee and the Governance & Ethics Committee.
Don also serves on the Governance Development Committee.
Anne was elected to Council in 2022 to represent Co-op members in Coastal Taranaki.
Anne is a member of the Guardianship Committee.
John was elected in 2017 to represent Fonterra farmers in Wairarapa.
John was elected Chair of the Co-operative Council in 2022 and was formally Chair of the Connection and Accountability committees. John was the DIRA working group Lead in 2018-19 and currently serves as a Council Representative on the Board's Co-operative Relations Committee.
Mark was elected to the Council in 2021 to represent Co-op members in Southern Canterbury.
Mark is a member of the Guardianship Committee.
Troy was appointed to the Council in 2022 to support Council’s representation of all Co-op members.
Troy is the Chair of the Accountability Committee.
Cushla was elected to Council in 2023 to represent Co-op members in the Southern Northland ward. Cushla is a member of the Connection Committee.
Andrew was elected to Council in 2023 to represent Co-op members in the Waipa ward. Andrew is a member of the Accountability Committee.
Gerard was elected to Council in November 2019 to represent Co-op members in the Eastern Bay of Plenty ward.
Gerard is a member of the Accountability Committee.
Dale was elected to Council in November 2019 to represent Co-op members in the Southern Taranaki ward.
Dale is a member of the Connection Committee.
Simon was elected to the Council in 2021 to represent Co-op members in Tasman/Marlborough.
Simon is a member of the Guardianship Committee.
Larry was elected to Council in November 2019 to represent Co-op members in the Otago ward.
Larry is a member of the Accountability Committee.
Carlos was appointed to Council in 2023 to support Council’s representation of all Co-op members. Carlos is a member of the Connection Committee.
Grant was elected to the Council in 2020 to represent Co-op members in the Waikato West Ward.
Grant is a member of the Guardianship Committee, and serves as a Council representative on the Board’s Co-operative Relations Committee.
Wynn was elected to Council in 2022 to represent Co-op members in South Waikato.
Wynn is a member of the Connection Committee.
Kylie was elected to the Council in 2020 to represent Co-op members in the Central Plateau.
Kylie is the Chair of the Connection Committee.
Megan was elected to the Council in 2021 to represent Co-op members in Central Districts West.
